MadeBy Terms of Use

These Terms of Use (the "Terms") are a legal agreement between you and AI MadeBy LLC ("MadeBy," "we," "us," or "our"), governing your access to and use of MadeBy's websites, applications, artificial-intelligence features, and related services (collectively, the "Service").

Please read these Terms carefully. Before receiving authenticated access, you must affirmatively accept the then-current version of these Terms and any incorporated Acceptable Use Policy. MadeBy records the version and time of acceptance. By clicking to accept, you agree to these Terms in your individual capacity. If MadeBy separately asks you to accept on behalf of an organization, you represent that you have authority to bind it and "you" also includes that organization. Merely using Customer-sponsored access does not make an Authorized User a signer of the Customer's Subscription Agreement or create an agreement between MadeBy and a Participant Organization. If you do not agree, do not use the Service.

If your organization has entered into a SaaS Subscription Agreement and Order Form with MadeBy (collectively, the "Subscription Agreement"), that Subscription Agreement controls to the extent it conflicts with these Terms. The organization that purchases the Service or sponsors your access is the "Customer." A "Participant Organization" is an outside organization whose personnel receive Customer-sponsored access as part of the Customer's services or other offering. An "Authorized User" is any individual the Customer permits to use the Service, including the Customer's personnel and personnel of a Participant Organization. These terms describe access roles only; they do not change who owns information or create an agency, reseller, or contractual relationship between MadeBy and a Participant Organization.

1. The Service

MadeBy is a multi-tenant software service that enables professional-services firms and other organizations to organize expertise into Knowledge Layers, make that expertise available through AI-enabled Spaces, invite users, upload and import documents, create recordings and transcripts, and maintain and share chats.

The Service uses probabilistic artificial-intelligence systems. Features may change as the Service develops. We may add, modify, suspend, or discontinue features, subject to any commitments in an applicable Subscription Agreement.

2. Eligibility and business use

You must be at least 18 years old and legally capable of entering into these Terms. The Service is intended for business and professional use, not personal, family, or household use and not for use by children.

The Service is currently offered only to Customers and Authorized Users located in the United States. You may not access the Service from another country unless MadeBy approves that location in a signed agreement with the Customer. This market restriction is not a promise that every MadeBy provider processes or supports data only in the United States; provider processing is described in MadeBy's Privacy Policy.

You may use the Service only in compliance with applicable law, these Terms, and any Customer policies communicated to you. If your access is provided by a Customer, your use is also subject to that Customer's authorization and instructions.

3. Accounts, invitations, and Customer administration

You must provide accurate account information, keep it current, and safeguard your sign-in links, sessions, devices, and credentials. You may not share an account or allow another person to use your identity. Notify us promptly at legal@AIMadeBy.com if you suspect unauthorized access.

Workspace creation and access are currently invite-only. A Customer may authorize administrators, Collaborators, or Members to invite other people using any valid email address, subject to the roles, permissions, and limits configured in the Service. An invitation does not grant broader authority than the inviter or Customer may lawfully provide. A Customer may administer, restrict, deactivate, or remove its users and control their access to Workspaces, Knowledge Layers, Groups, and Spaces. If your Customer ends your access, you may lose access to Customer Data associated with that Customer. MadeBy is not responsible for a Customer's administration of its users or its internal authorization decisions.

MadeBy presents its Privacy Policy during onboarding and records the version presented. The Privacy Policy is a notice describing data practices, not a contract that you are required to "agree" to. Specific optional features, such as recording or a third-party cloud import, may require a separate just-in-time notice or affirmative authorization.

4. Customer Data

"Customer Data" means information, files, audio, transcripts, prompts, instructions, messages, chats, feedback, and other content submitted to or stored in the Service by or for a Customer or its users. Customer Data does not include Outputs, MadeBy Technology, usage and security metadata that does not reveal Customer Data, or Feedback as defined below.

As between MadeBy and the persons or organizations that supplied Customer Data, each retains its respective right, title, and interest in that Customer Data. MadeBy does not determine or alter the rights among a Customer, Participant Organization, Authorized User, or other licensor. The Customer represents that it is authorized to provide MadeBy the instructions and rights described below, including for Customer Data supplied by its Authorized Users. The Customer grants MadeBy and its subprocessors a limited, non-exclusive right to host, copy, transmit, index, retrieve, display, and otherwise process Customer Data only as necessary to:

  1. provide, maintain, secure, and support the Service;
  2. follow the Customer's and its authorized users' instructions;
  3. prevent or address fraud, abuse, security incidents, or technical problems; and
  4. comply with law and enforce the parties' agreements.

This right lasts only for as long as needed for those purposes, subject to documented retention, backup, legal, and deletion requirements. MadeBy does not acquire ownership of Customer Data.

The Customer is responsible for Customer Data and represents that it has all rights, permissions, notices, and lawful bases needed to submit and direct MadeBy to process it. This includes obtaining any required consent before recording another person, uploading communications or personal data, or using material owned by someone else.

5. Visibility and sharing

MadeBy applies permissions based on account role and the Workspace, Knowledge Layer, Group, Space, or chat involved. Some content is designed to be shared:

  • Customer administrators and authorized Collaborators may be able to access and manage content within their Workspace.
  • Documents added to a Space may be accessible to authorized Collaborators for that Space and used to answer authorized users in that Space.
  • A private chat is intended to be visible only to its author and authorized MadeBy personnel or service providers as needed to operate the Service. A Customer administrator does not receive access to a private chat merely because of the administrator role.
  • A user who affirmatively shares a chat with a Space makes that chat readable by other users with access to that Space. Sharing does not necessarily permit those users to edit the chat.

If an Authorized User is removed, that person's private chats remain Customer Data under the Customer's retention lifecycle but do not become visible to ordinary users or Customer administrators merely because access ended. Chats already shared with a Space remain subject to that sharing state until the Customer or an authorized user changes or deletes them.

You are responsible for checking the audience before submitting, importing, recording, or sharing content. No access-control or AI system can guarantee that confidential information will never be disclosed. Do not rely on the Service as the sole control protecting exceptionally sensitive information.

MadeBy and its infrastructure and AI providers necessarily have the technical ability to process and, in limited circumstances, access Customer Data. MadeBy does not routinely read private chats for product analytics, model training, or general quality review. MadeBy may permit specifically authorized personnel to access content only when reasonably necessary to provide support requested by a Customer or user, troubleshoot the Service, investigate security or prohibited use, comply with law, or protect MadeBy, Customers, users, or others. Personnel access must be need-to-know, subject to confidentiality obligations, and limited to the minimum content reasonably necessary. When practicable, MadeBy will notify the Customer of identifiable content access. If Customer-requested support requires a private chat, MadeBy will seek the affected user's authorization when practicable unless the Customer has established authority to request access or an independent security, legal, or safety basis applies. A separate, affirmative Customer opt-in is required before MadeBy uses identifiable chat content for voluntary product-quality research unrelated to a specific support, security, or legal need.

6. AI features, instructions, and Outputs

The Service may generate text, summaries, classifications, recommendations, and other results ("Outputs") from Customer Data and other inputs. AI systems are probabilistic. Outputs may be inaccurate, incomplete, outdated, biased, offensive, or unsuitable, and the same or similar Output may be generated for other users.

You must independently evaluate Outputs before using or sharing them. You remain responsible for decisions, actions, communications, and work product based on Outputs. The Service and its Outputs are not a substitute for legal, medical, financial, accounting, regulatory, or other professional advice. Do not use Outputs as the sole basis for decisions that determine a person's eligibility, access, rights, employment, housing, credit, insurance, healthcare, or other legal or similarly significant interests.

As between MadeBy and the Customer, and to the extent permitted by law, MadeBy assigns to the Customer any rights MadeBy may have in Outputs generated specifically through the Customer's use of the Service. That assignment does not determine rights among the Customer, an Authorized User, a Participant Organization, or another rights holder. It also does not transfer rights in MadeBy Technology, platform or Customer-configured instructions, source materials, third-party material, or another customer's data. MadeBy does not represent that an Output is copyrightable, unique, or free of third-party rights.

The Customer and its Authorized Users may use individual Outputs for their authorized business purposes. Output rights do not authorize distillation or systematic extraction: using automated, repetitive, coordinated, or high-volume requests or collections of Outputs to reconstruct, approximate, reveal, or create a substitute for MadeBy Technology, non-public instructions, a Knowledge Layer, protected methodology, source collection, or other confidential or proprietary material. They also do not authorize using those materials or systematic Outputs to train, fine-tune, distill, evaluate, or improve a competing model, service, dataset, or knowledge product. These activities require MadeBy's prior written approval and all permissions required from the applicable rights holders.

MadeBy does not use Customer Data or Outputs to train or fine-tune generalized AI models and does not opt in to allow OpenAI to use MadeBy's API data to train its models. OpenAI processes Customer Data as a subprocessor under its applicable business terms and MadeBy's data-control settings.

Every AI request may include non-public MadeBy platform instructions, Customer-configured instructions, retrieval rules, and safety or security controls. Those instructions may shape, limit, redirect, or cause the Service to refuse a request, and may take priority over a user's prompt. MadeBy may update platform instructions to operate, secure, and govern the Service. The instructions and related safeguards are part of MadeBy's technology and do not create a promise that an Output will always follow them or that confidential information can never be disclosed. You may not attempt to extract, evade, override, or defeat non-public platform instructions or security controls.

7. Personal information and Restricted Data

MadeBy necessarily processes limited personal information needed to provide the Service, such as a user's name, email, organization, permissions, and usage records. Customer Data may contain ordinary business and professional information, such as a person's name, employer, job title, business contact details, professional biography, organizational relationships, and incidental workplace information in meeting notes, when reasonably necessary for a legitimate business use.

The Service is not designed or authorized for other personal information or regulated data. You must not submit "Restricted Data," including:

  • protected health information subject to HIPAA, or patient-level, claims, eligibility, clinical, or identifiable consumer health information whether or not HIPAA applies;
  • Social Security, passport, driver's-license, tax-identification, or other government-issued identification numbers;
  • financial-account credentials or full payment-card data, except through a MadeBy-designated payment provider;
  • account passwords, authentication secrets, private keys, or similar security credentials;
  • biometric identifiers or templates, genetic data, voiceprints, or face geometry;
  • precise geolocation, information about children, or information concerning an individual's race or ethnicity, religious or philosophical beliefs, sexual life or orientation, disability, immigration status, criminal history, or similarly sensitive traits; or
  • applicant files, background checks, compensation records, performance evaluations, disciplinary records, medical or leave records, or other sensitive employment or human-resources information; or
  • personal information not reasonably necessary for a legitimate business use, or any data subject to heightened legal, regulatory, or contractual safeguards that MadeBy has not expressly approved.

This restriction applies to Customer Data, including documents, prompts, chats, recordings, transcripts, and imported files. It does not prohibit MadeBy from processing the limited account, security, billing, and professional contact information described in the Privacy Policy.

MadeBy does not currently offer a HIPAA-eligible version of the Service or enter into BAAs. MadeBy's association with healthcare consulting does not make the Service HIPAA compliant. De-identified or aggregated healthcare information may be used only if the Customer is responsible for verifying that the data has been de-identified under every applicable requirement and cannot reasonably be used to identify an individual.

8. Acceptable use

The MadeBy Acceptable Use Policy ("AUP") is incorporated into these Terms. You must comply with the then-current AUP as a condition of access. The rules below summarize core restrictions and do not limit the AUP.

You may not, and may not help another person to:

  1. use the Service unlawfully or violate another person's privacy, publicity, confidentiality, intellectual-property, or other rights;
  2. upload malware, harmful code, or content intended to compromise, manipulate, or evade the Service's security, authorization, retrieval, or AI safeguards;
  3. gain or attempt to gain unauthorized access to another account, Workspace, Space, system, or data;
  4. probe, scan, or test vulnerabilities without MadeBy's prior written authorization;
  5. interfere with the Service, impose an unreasonable load, bypass usage limits, or use automated means to scrape or extract the Service except through an authorized interface;
  6. reverse engineer, decompile, or attempt to discover non-public source code, models, prompts, algorithms, or underlying components, except to the limited extent applicable law prohibits this restriction;
  7. use the Service to create or distribute deceptive, defamatory, discriminatory, exploitative, or unlawful content, impersonate another person, or facilitate fraud or abuse;
  8. use the Service or Outputs to make fully automated decisions with legal or similarly significant effects on an individual;
  9. sell, sublicense, timeshare, or provide the Service to a third party except as permitted by a Subscription Agreement; or
  10. remove proprietary notices or misrepresent the source or reliability of an Output.

Prohibited illegal use includes using the Service to violate privacy or data-protection law, infringe intellectual property, facilitate fraud or cybercrime, distribute unlawful material, harass or threaten another person, evade sanctions or export controls, or create, receive, or share Restricted Data in violation of Section 7.

MadeBy may investigate suspected violations and suspend or restrict access when reasonably necessary to protect the Service, Customers, users, or others.

9. Third-party services and imports

The Service relies on third-party providers and may allow you to connect to Google Drive. Your use of a third-party service remains subject to that provider's terms and privacy practices.

Cloud-file imports are user-directed, one-time copies. Once imported, the copy in MadeBy is managed as Customer Data and is not kept synchronized with the source service. Changes to or deletion of the original file do not automatically change or delete the MadeBy copy. You authorize MadeBy to access and copy only the files you select.

MadeBy is not responsible for third-party services, changes to their availability or terms, or data that a third party processes independently of MadeBy.

10. Security

MadeBy will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. No system is completely secure, and MadeBy does not guarantee that the Service will be uninterrupted or immune from unauthorized access.

You and the Customer are responsible for configuring access appropriately, limiting sensitive data, reviewing user membership, protecting devices and accounts, and promptly removing access that is no longer needed. Any security commitments beyond this section must be in a Subscription Agreement or security addendum.

11. Service availability

Unless a signed Subscription Agreement expressly includes a service-level agreement, MadeBy provides no guaranteed uptime, availability percentage, response time, restoration time, or service credit. The Service may be unavailable because of maintenance, updates, capacity constraints, security events, internet or utility failures, third-party providers, force majeure events, or other causes. MadeBy may perform scheduled or emergency maintenance and may change technical requirements. Where commercially reasonable, MadeBy will communicate material planned interruptions, but no such communication creates an uptime commitment.

12. MadeBy technology and Feedback

MadeBy and its licensors retain all right, title, and interest in the Service, including its software, interfaces, workflows, designs, documentation, non-public instructions and safeguards, and improvements (collectively, "MadeBy Technology"). Except for the limited right to use the Service under these Terms, no license is granted to you.

MadeBy may create and use aggregated or de-identified operational information to operate, secure, measure, improve, and market the Service, including publishing general benchmarks or trends. MadeBy will not use that information to identify a Customer or individual, reveal Customer Content or a protected methodology, or attempt reidentification.

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant MadeBy a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate the Feedback without restriction or compensation. Feedback does not include Customer Data or confidential material merely because it is submitted through the Service.

13. Fees, subscriptions, changes, and taxes

Fees, usage allowances, plan limits, subscription term, invoicing, renewal, and payment terms are stated in the applicable Order Form or checkout disclosure. Except as stated there or required by law, fees are non-refundable. The Customer is responsible for applicable taxes other than taxes on MadeBy's net income.

MadeBy may suspend paid access for undisputed overdue amounts after providing the notice and cure period stated in the Subscription Agreement or Order Form. MadeBy will not introduce an automatically renewing self-service subscription without presenting the price, renewal period, cancellation method, and other legally required disclosures at checkout.

Unless an Order Form states otherwise, MadeBy may change subscription fees, included usage, and plan limits for a renewal term by giving at least 60 days' notice before that renewal. For a month-to-month plan, MadeBy may change fees on at least 30 days' advance notice, effective no sooner than the next renewal after the notice period. A fee change does not retroactively increase the price of an already-paid committed term. Usage-based charges, overages, added users or capacity, taxes, and third-party pass-through charges may vary during a term only as disclosed in the Order Form or agreed by the Customer. The Customer may avoid a renewal increase by giving timely notice of non-renewal under its Order Form.

14. Confidentiality

If the parties have a Subscription Agreement containing confidentiality terms, those terms govern. If they do not, each party will use the other party's non-public information disclosed in connection with the Service only to perform or receive the Service, will protect it using at least reasonable care, and will disclose it only to personnel and service providers who need to know it and are bound to protect it. This section does not apply to information that is public through no breach, already known without a duty of confidentiality, lawfully received from another source, or independently developed without use of the other party's information.

A party may disclose confidential information when legally required after giving advance notice where legally permitted. Customer Data is confidential information of the Customer and/or its applicable licensors, and MadeBy will protect it for the Customer under this section. The existence and general terms of these Terms are not confidential.

15. Term, suspension, and termination

These Terms begin when you first accept them and continue while you have access to the Service. You may stop using the Service at any time. The Customer or MadeBy may deactivate your access in accordance with these Terms and any Subscription Agreement.

MadeBy may suspend or terminate access if you materially breach these Terms, create a security or legal risk, use the Service fraudulently, or if continued provision is prohibited by law. Where reasonable, MadeBy will give notice and an opportunity to cure before termination.

Before termination, the Customer should export Customer Data through available features or by contacting MadeBy. After termination, MadeBy may delete or return Customer Data according to the Subscription Agreement, Data Processing Addendum, Privacy Policy, and applicable law. Sections that by their nature should survive will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnity, and dispute terms.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." MADEBY DISCLAIMS ALL IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MADEBY DOES NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ERROR-FREE, COMPLETE, SECURE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR DECISION OR REGULATORY OBLIGATION.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE TO MADEBY FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THERE IS NO SEPARATE MINIMUM DOLLAR CAP.

A party's aggregate liability for breach of confidentiality, data-privacy or data-security obligations, and its indemnification or intellectual-property claim obligations will not exceed two times the general cap above. Reasonable investigation, required notice, restoration, and mitigation costs arising from a security incident are direct damages subject to this enhanced cap.

The exclusions and caps do not apply to payment obligations, fraud or willful misconduct, intentional infringement or misappropriation of the other party's intellectual property, or liabilities that cannot legally be limited.

18. Indemnification

To the extent these Terms bind a Customer, that Customer will defend MadeBy and its affiliates, officers, directors, and personnel against a third-party claim arising from (a) Customer Data; (b) the Customer's or its users' unlawful or unauthorized use of the Service; or (c) the Customer's breach of Sections 4, 7, or 8, and will pay resulting damages, settlements, and reasonable legal fees. MadeBy will promptly notify the Customer and reasonably cooperate, and the Customer may control the defense and settlement, provided it may not admit fault by or impose non-monetary obligations on MadeBy without consent.

An Authorized User's individual acceptance of these Terms does not, by itself, make that user's employer or another organization responsible under the preceding paragraph. Any indemnification obligation of MadeBy applies only if stated in a signed Subscription Agreement or other written agreement with the Customer.

19. Governing law and disputes

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. The state and federal courts located in Hennepin County, Minnesota will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

Before filing a claim, each party will give the other written notice describing the dispute and allow 30 days for good-faith informal resolution. Either party may seek immediate injunctive relief to protect confidential information, intellectual property, or system security.

20. Changes to these Terms

MadeBy may update these Terms. If a change materially reduces your rights or expands MadeBy's use of Customer Data, MadeBy will provide reasonable advance notice through the Service, by email, or by another appropriate method and will require affirmative re-acceptance before continued authenticated access. Non-material changes may take effect on the stated effective date without re-acceptance. A non-material change will be disclosed by posting the updated Terms and revising the effective or last-updated date. A Subscription Agreement may provide different change-control terms, and an amendment to a signed Subscription Agreement must be accepted by an authorized Customer representative.

21. General

You may not assign these Terms without MadeBy's written consent. MadeBy may assign them in connection with a merger, acquisition, reorganization, or sale of all or substantially all relevant assets. Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. These Terms, together with documents expressly incorporated into them, are the entire agreement concerning their subject matter. If a provision is unenforceable, it will be modified only as much as necessary and the rest remains effective. Failure to enforce a provision is not a waiver. Headings are for convenience. Electronic notices and acceptance satisfy writing requirements to the extent permitted by law.
